nDate),equalsorexceeds50.00%oftheGroupISeniorEnhancementPercentageor(B)withrespecttothefirstDistributionDate,theGroupISixty-PlusDelinquencyPercentage,asdeterminedonthatDistributionDate,equalsorexceeds50.00%oftheGroupISeniorEnhancementPercentageor(ii)theaggregateamountofRealizedLossesontheGroupILoansasapercentageoftheGroupICut-offDateBalanceexceedstheapplicableamountsetforthbelow:LevelIStatusexistsatanydateif,asofthelastdayofthefiscalquarteroftheBorrowerreferredtointhemostrecentFinancials,theLeverageRatioislessthan1.00to1.00.CitizenshipEligibilityTriggerisdefinedinSection4.9(a)(ii).Eligibleadultmeansanyofthefollowing:Smallemployercarriermeansacarrierthatoffershealthbenefitplanscoveringeligibleemployeesofoneormoresmallemployersinthisstate.QualifyingTerminationmeansanyoftheeventsdescribedinSection3.2herein,theoccurrenceofwhichtriggersthepaymentofSeveranceBenefitshereunder.CICQualifyingTerminationmeansaSeparation(A)withintwelve(12)monthsfollowingaChangeinControlor(B)withinthree(3)monthsprecedingaChangeinControl(butastopart(B),onlyiftheSeparationoccursafteraPotentialChangeinControl)resulting,ineithercase(A)or(B),from(i)theCompanyterminatingtheExecutive’semploymentforanyreasonotherthanCauseor(ii)theExecutiveresigninghisorheremploymentforGoodReason.AterminationorresignationduetotheExecutive’sdeathordisabilityshallnotconstituteaCICQualifyingTermination.A“PotentialChangeinControl”meansthedateofexecutionofalegallybindinganddefinitiveagreementforacorporatetransactionwhich,ifconsummated,wouldconstitutetheapplicableChangeinControl(whichfortheavoidanceofdoubt,wouldinclude,forexample,amergeragreement,butnotatermsheetforamergeragreement).InthecaseofaterminationfollowingaPotentialChangeinControlandbeforeaChangeinControl,solelyforpurposesofbenefitsunderthisAgreement,thedateofSeparationwillbedeemedthedatetheChangeinControlisconsummated.InvestmentGradeStatusshalloccurwhentheNotesreceivetwoofthefollowing:Qualifieddisabledveteranmeansabusinessentitythatis51%ormoreownedbyoneormoreveteranswithaservice-connecteddisability.DisabilityorDisabledmeansthatduringtheEliminationPeriodandyourOwnOccupationPeriodyouare,asaresultofPhysicalDisease,Injury,MentalDisorder,SubstanceAbuseorPregnancy,unabletoperformoneormoreoftheMaterialDutiesofyourOwnOccupation,and,duetosuchinability,yourWorkEarningsarelessthan80%ofyourIndexedPredisabilityEarnings,andyouareincapableofearning80%ormoreofyourIndexedPredisabilityEarnings.YourWorkEarningsmaybeDeductibleIncome.Seethe“LTDBenefitCalculation”and“DeductibleIncome”sections.
