Article2CNAisanon-profitcorporation,foundedwithNT$10milliondonatedbythecentralgovernmentinaccordancewiththisAct.MattersnotprovidedforinthisActshallbegovernedbyotherrelevantlawsandregulations. Article3ThetasksofCNAareasfollows:1.Toreportdomesticandforeignnewseventsandservemassmediaoutlets2.Totransmitnewstotheoutsideworldforthecountryandpromotetheinternationalcommunity’sunderstandingofthecountry3.Tostrengthencooperationwithinternationalnewsagenciesandpromoteinternationalnewsexchanges Article4ThesourcesofCNA’sfundingareasfollows:1.Grantsprovidedfromthecentralgovernment’sbudget2.Donationsfrompublicandprivatedomesticandforeigninstitutions,groupsandindividuals3.Incomefromservicesprovided4.Otherincome Article4-1ThestatepropertyusedbyCNA’sforerunner,CentralNewsAgencyLtd.Co.,maycontinuetobeusedbyCNA.Therenovationorexpansionofthispropertyissubjecttogovernmentapproval. Article5CNA’sboardshouldhavenineto15directors,withoneofthemthechairman.Thesedirectorsshouldallbeselectedbythepremierfromamongthefollowingpersons:1.Massmediaexpertsandscholars2.Massmediaworkers3.PeopleseenasimpartialbysocietyNomorethanhalfoftheboard’sdirectorscanbemembersofanysinglepoliticalparty. Article6CNAshouldhaveaboardofsupervisorsconsistingofthreetofivesupervisors,withoneofthemthestandingsupervisor.Thesesupervisorsshouldallbeselectedbythepremierfromamongthefollowingtypesofpeople:1.Massmediaexpertsandscholars2.Massmediaworkers3.PeopleseenasimpartialbysocietyNomorethanhalfofthesesupervisorscanbemembersofanysinglepoliticalparty. Article7Directorsandsupervisorsservethree-yeartermsthatcanberenewedonce.Butthenumberofdirectorsorsupervisorswhosetermsarerenewedcannotexceedhalfofthetotalnumberofdirectorsorsupervisors.Ifdirectorsandsupervisorsareunabletocarryouttheirdutiesbecauseoftheirresignationordeathorotherreasons,theirpositionwillbeconsideredvacated.Theresultingopeningistobefilledbyapersonselectedbythepremieraccordingtotheprovisionsofthetwopreviousarticles.Thetermofthenewdirectororsupervisorshalllastuntilthetermofthepersontheyreplacedexpires. Article8Exceptfortheboardchairmanandstandingsupervisor,directorsandsupervisorsshallnotberemunerated,buttheymaybegiventransportationallowanceswhenmeetingsareheld. Article9CNAistohaveapresidentwhoischosenbytheboardofdirectorstomanagetheagency’sdailyoperations,andoneortwovicepresidentswho,underthedirectionofthepresident,assistwiththemanagementoftheagency.Allofthemhaverenewablethree-yearterms. Article10TheorganizationalstructureandstaffsizeofCNAshouldbeapprovedbytheboardofdirectorsbeforebeingsubmittedtothecompetentauthorityforreviewandrecord-keeping. Article11CNA’sfiscalyearshouldcoincidewiththegovernment’sfiscalyear. Article12Beforethebeginningofeachfiscalyear,CNAshouldprepareitsbusinessplanandannualbudgetforapprovalbytheboardofdirectors.Onceapprovedbytheboard,theyshouldbesubmittedtothecompetentauthoritytobereviewedinaccordancewithstandardbudgetprocedures.Attheendofthefiscalyear,aworkreportandafinalaccountingofexpendituresandrevenuesshouldbeapprovedbytheboardofsupervisorsandsubmittedtothecompetentauthoritytobehandledinaccordancewithstandardauditingprocedures. Article13CNA’srulesonreceivingdonationsshouldbedrawnupbyitsboardofdirectorsandpresentedtothecompetentauthorityforapproval. Article14CNAmaybedisbandedif,owingtochangesincircumstances,itisnolongerabletomeetthepurposesforwhichitwasestablishedasstipulatedinthisAct.Afterbeingdisbanded,itshouldbeliquidatedaccordingtothelaw,withitsassetsbelongingtothenationaltreasury. Article15TheActshalltakeeffectonthedateofitspromulgation.
